By purchasing, subscribing to, or using our software platform and services, you agree to be bound by these Terms.

### 2. Services Provided

We provide white-labeled software tools tailored for estate agencies, including but not limited to:

1. Automated Missed Call Text Back: Instant SMS automation sent to callers whose calls are missed by the agency.

2. Google Reputation & Review Service: Automated follow-up workflows via SMS and email to request Google reviews from agency clients.

3. Associated CRM workflows, reporting dashboards, and communication management tools.

### 3. Account Registration & White-Label Platform

- Services are made available via a secure, web-based platform. You are responsible for maintaining the confidentiality of your account credentials.

- You must immediately notify us of any unauthorized use or security breach related to your account.

- We grant you a non-exclusive, non-transferable, revocable license to access and use the software for your internal estate agency operations.

### 4. Client Responsibilities & SMS / Legal Compliance (PECR & UK GDPR)

The Client acknowledges and agrees that it is the Data Controller for all contact details, call logs, and customer data uploaded or processed through the platform.

You specifically warrant and agree that:

1. PECR & Opt-In Compliance: You have obtained all necessary consents, or rely on a valid lawful basis under PECR and UK GDPR, to send automated SMS messages and review requests to your phone callers, leads, buyers, sellers, landlords, and tenants.

2. Opt-Out Mechanism: You will not disable, interfere with, or attempt to bypass mandatory SMS opt-out keywords (e.g., 'STOP', 'UNSUBSCRIBE') configured within the system.

3. Acceptable Use: You will not use the software to send spam, unsolicited bulk communications, misleading or fraudulent marketing, or defamatory content.

4. Branding & Transparency: All automated communications sent through the platform must clearly identify your estate agency name as the sender.

### 5. Fees, Subscriptions & Payment Terms

- Subscription Fees: Services are provided on a recurring subscription basis (monthly or annually) as selected upon sign-up.

- Payment Method: Payments are processed automatically via credit/debit card or direct debit.

- Telecommunication Charges: SMS messaging, phone number rentals, and call routing charges may be subject to usage-based fees (rebilled or pay-as-you-go) as set out in your pricing plan.

- Late Payment: Failure to pay subscription fees may result in immediate suspension of automated workflows, SMS delivery, and platform access.

### 6. Service Level, Maintenance & Third-Party Dependencies

- We endeavor to provide high availability for our software. However, platform availability depends on underlying infrastructure providers (including HighLevel Inc., Google, telecom carriers, and SMS gateways).

- We are not liable for service outages, SMS deliverability failures, carrier filtering, or delays caused by third-party telecommunication network issues or Google API changes beyond our reasonable control.

### 7. Data Protection & Processing Agreement (DPA)

To the extent that we process personal data on your behalf as a Data Processor:

- We will process data strictly in accordance with your instructions and UK GDPR requirements.

- We maintain suitable administrative, physical, and technical safeguards to secure your data.

- You authorize us to engage reputable sub-processors (e.g., GoHighLevel, Twilio, Amazon Web Services) to deliver the software functionality.

### 8. Intellectual Property Rights

- All intellectual property rights in the software, underlying platform, custom snapshot templates, workflows, and website content remain the exclusive property of Platform Property Services Ltd or its licensors.

- You retain ownership of all client customer data and branding materials uploaded to the platform.

### 9. Limitation of Liability

- B2B Service: Our services are provided strictly on a Business-to-Business (B2B) basis.

- To the maximum extent permitted by English law, our maximum aggregate liability arising out of or in connection with the Services shall be limited to the total fees paid by you to us in the three (3) months preceding the claim.

- We shall not be liable for any indirect, consequential loss, loss of profit, loss of reputation, loss of business opportunity, or regulatory fines incurred by you as a result of improper lead collection or non-compliant messaging.

### 10. Indemnification

You agree to defend, indemnify, and hold harmless Platform Property Services Ltd against any claims, losses, damages, liabilities, or regulatory fines (including ICO penalties) arising out of your breach of PECR, UK GDPR, or Section 4 (Client Responsibilities) of these Terms.

### 11. Cancellation & Termination

- You may cancel your subscription at any time via your account dashboard or by providing written notice to contact@platformpropertyservicesltd.com in accordance with your agreement terms.

- We reserve the right to suspend or terminate your account immediately if you breach these Terms or engage in non-compliant SMS broadcasting.

These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction.
